Position Overview:
CM Law is actively seeking an experienced Corporate M&A Partner to join our growing team. The ideal candidate must have at least 8 years of experience in handling M&A transactions, with prior training or practice in an AmLaw 200 firm or a similar high-level environment. This role requires leading M&A transactions from inception to closing, managing due diligence teams, and advising on corporate governance matters.

Key Responsibilities:
– Lead M&A transactions from initiation through closing, ensuring smooth execution and client satisfaction.
– Oversee and coordinate due diligence teams in evaluating transaction risks and opportunities.
– Advise on general corporate and corporate governance matters, including entity formation, joint ventures, and licensing.
– Draft and negotiate transaction documents, including stock purchase agreements, asset purchase agreements, merger agreements, and confidentiality agreements.
– Provide strategic guidance on credit agreements, redemption agreements, IP license agreements, and secondment agreements.

Qualifications:
– A minimum of 8 years of experience in M&A transactions and general corporate matters.
– Prior experience at an AmLaw 200 firm or equivalent experience at a top-tier law firm.
– Proven ability to lead significant corporate transactions, manage complex deals, and deliver top-tier results.
– Must possess a portable client base generating at least $250,000 annually or demonstrate a strong business plan for client development.
– Experience in corporate governance and drafting key transaction documents is essential.
