Laura Stapleton has more than 30 years of experience as a tax and corporate lawyer. Laura focuses her practice on the tax aspects of a variety of complex domestic and cross-border transactions, including mergers and acquisitions, reorganizations, financings, and the formation and operation of limited liability companies and other pass-through entities. In addition, Laura has handled multiple M&A and other corporate transactions as lead counsel during her career, as well as being heavily involved in the venture capital and private equity funds space.
Laura advises business entities at all stages of growth in the acquisition and disposition of businesses, and tax planning with a regard to the choice of entity that best suits the particular client’s needs and business objectives. Laura has advised clients in a wide variety of industries, such as commercial real estate, healthcare, energy, US defense contractors and technology companies. She also advises clients with regards to executive compensation and qualified small business stock (QSBS) matters.
Laura’s practice also provides advice to businesses in the blockchain ecosystem on issues related to cryptocurrencies and digital tokens, nonfungible tokens (NFTs), decentralized finance (DeFi), providers of distributed applications (DAPPs), and other blockchain-based distributed applications.
Laura was a Certified Public Accountant in Texas for over 25 years.
