Our attorneys prepare loan and other debt documents and handle closings across commercial and industrial loans, commercial real estate lending, asset-based and reserve-based facilities, mezzanine and bridge facilities, letters of credit, privately placed debt, warehouse lending, and bonds. We act as agent’s counsel on syndicated facilities and as lead counsel on bilateral deals, and we work fluently in both LSTA and LMA documentation.
Lending matters rarely stay inside the four corners of a credit agreement. Our group draws on colleagues across the firm when a facility raises regulatory, real estate, ERISA, or tax questions, so a client is not left coordinating between separate advisors on its own deal. We also assist clients navigating the legal risks that arise from difficult transactions, including unusual collateral, uncooperative borrowers, and workouts and restructurings.
We handle the work that sits alongside transactions as well: form documentation and template programs, internal lending policies, lien perfection questions, corporate diligence, and in-house training for lending and credit teams.
